This Product Schedule forms part of and is subject to the Avalonia UI Master Terms and Conditions. Capitalised terms not defined herein have the meanings given in the Master Terms.

1. Product-Specific Definitions

"Software" refers to Avalonia Community, the free-of-charge tier of the Avalonia developer tooling, comprising a subset of Avalonia's development tools designated by Avalonia UI as "essential features." Avalonia Community does not include the complete tooling feature set available in Avalonia Plus, the UI Components available in Avalonia Pro, or any of the support services included in Avalonia Enterprise.

"Commercial Use" means any use of the Software to develop commercial products (products distributed or made available for a fee, or used as part of the Customer's business activity) or to provide paid services. Creation of audiovisual content, where the use of the Software is only demonstrated by the Customer for educational or other non-commercial purposes, is not considered Commercial Use, even if the content itself is made available for a fee or profit.

"Non-Commercial Use" means any use that does not fall under the definition of Commercial Use.

2. Customer Eligibility

2.1 Individuals Only

The Avalonia Community licence is available only to natural persons. The Customer must be at least 18 years old and must not be a corporation, company, partnership, association, or other entity or organisation. An organisation may not obtain, fund, or direct the use of an Avalonia Community licence on behalf of its employees, contractors, or any other individuals.

2.2 Ongoing Eligibility

The Customer must continue to meet the eligibility criteria throughout the term of this licence. If the Customer ceases to qualify (for example, by using the Software for Commercial Use or by allowing an organisation to fund or direct their use), the Customer must either upgrade to a paid licence tier (subject to Section 9.7) or cease all use of the Software.

3. Licence Grant

3.1 Grant of Community Licence

Subject to the Customer meeting and continuing to meet the eligibility criteria in Section 2, and subject to compliance with the restrictions in this Schedule and the Master Terms, Avalonia UI grants to the Customer free of charge a non-exclusive, non-transferable licence to install and use the Software on any number of Machines, provided that the Customer remains the sole user of the licence. Concurrent use by more than one individual is prohibited.

3.2 Non-Commercial Use Only

The licence granted under this Schedule is limited to Non-Commercial Use. The Customer shall not use the Software in a manner that would constitute Commercial Use. This is the trade-off for the licence being provided free of charge.

3.3 Essential Tooling Only

The Community licence covers a subset of Avalonia's developer tooling designated by Avalonia UI as "essential features." It does not include the complete tooling feature set (available in Avalonia Plus and above) or any UI Components (available in Avalonia Pro and above). Avalonia UI may, in its sole discretion, modify the features designated as essential from time to time.

3.4 No Perpetual Rights

The Community licence does not confer any perpetual rights. Upon expiry or termination of the Subscription Period, the Customer's right to use the Software ceases. There are no fallback version rights.

3.5 No Licence to Organisations

Nothing in this Schedule grants any licence, right, or permission of any kind to any organisation. Any installation, access, or use of the Software that is deemed under Section 9.2 to be on behalf of an organisation is outside the scope of the licence granted under Section 3.1, is unlicensed, and constitutes an infringement of Avalonia UI's intellectual property rights by that organisation, irrespective of whether the organisation authorised, directed, or had knowledge of the use, and irrespective of whether the organisation is bound by this Agreement. The Customer acknowledges that they have no authority to extend any right under this Schedule to any organisation.

4. Subscription Period and Renewal

4.1 Subscription Period

The licence is granted for a period of one (1) year from the date of activation. The Software will cease to function at the end of the Subscription Period unless renewed.

4.2 Manual Renewal

Renewal is not automatic. The Customer must submit a renewal request through their Avalonia Account at least fourteen (14) days prior to the end of the current Subscription Period. Avalonia UI reserves the right to decline renewal at its sole discretion.

4.3 No Vested Rights

The Customer acknowledges that the Community licence is provided as a goodwill offering and that Avalonia UI may modify or discontinue the Community programme at any time with reasonable notice. The Customer has no vested right to continued free access.

5. Activation and Access

5.1 Avalonia Account Required

The Customer must create and maintain an Avalonia Account to activate and access the Software. There are no offline activation codes or offline licence keys available for the Community tier.

By activating the Software, and on each occasion the Software verifies the Customer's right to use it under Section 5.2, the Customer represents and warrants to Avalonia UI that none of the circumstances in Section 9.2 applies to that installation or use, and Avalonia UI relies on each such representation.

5.2 Periodic Verification

The Software will periodically connect to Avalonia UI's servers to verify the Customer's right to use the Software and to confirm compliance with the terms of this Schedule. An active internet connection is required for continued use.

6. Data Collection and Compliance Monitoring

6.1 Mandatory Telemetry

As a condition of the Community licence, the Customer agrees that the Software will collect and transmit telemetry data to Avalonia UI in its default mode, including usage data and detailed interaction data. This telemetry is used to understand usage patterns, improve the Software, and verify compliance with the Community licence restrictions.

6.2 No Opt-Out

Unlike paid licence tiers, the Community licence does not include the option to disable telemetry. The Customer acknowledges and accepts this as a condition of the free-of-charge licence.

6.3 Compliance Monitoring

Avalonia UI uses automated systems to monitor compliance with the use restrictions set out in Section 3 of this Schedule. Any compliance issues detected by automated systems are reviewed by a person before any action is taken against the Customer's account.

6.4 Data Scope

Avalonia UI does not collect source code, application code, or proprietary business data through telemetry. For full details on data collection and processing, refer to Avalonia UI's Privacy Policy at https://avaloniaui.net/legal/privacy-policy.

6.5 Interference with Telemetry

The transmission of telemetry under Section 6.1 is a condition of this licence. The Customer shall not block, filter, intercept, alter, or otherwise interfere with it, whether by configuration, network controls, modification of the Software, or any other means. Where the Software is in use and Avalonia UI does not receive telemetry from it, the telemetry is deemed to have been blocked by the Customer unless the Customer demonstrates that the failure arose from causes outside its control. Interference with telemetry is a breach that is not reasonably curable for the purposes of Section 8.3 of the Master Terms. Notwithstanding Section 8.2, Avalonia UI may terminate this licence immediately and without prior notice, including by deactivating the Customer's Avalonia Account, and any use of the Software after the interference began is unlicensed.

7. Support

7.1 Community Forum Only

Support is provided solely via the Avalonia community channels on a best-efforts basis with no response time commitments. The Community tier does not include email support, Customer Portal support, or any form of priority issue handling.

8. Additional Restrictions

In addition to the restrictions in Section 4 of the Master Terms:

The Customer shall not share their Avalonia Account credentials or any activation data with any other person.

8.2 Termination for Suspected Misuse

Except where Section 6.5 applies, if Avalonia UI reasonably believes that (a) the Customer's use of the Software is unauthorised or fraudulent, (b) information provided by the Customer in connection with this Schedule is incomplete, inaccurate, or unverifiable, or (c) the Customer has breached Section 3 (Licence Grant) or Section 6 (Data Collection and Compliance Monitoring), Avalonia UI may terminate this licence on seven (7) days' written notice to the Customer. During this notice period, Avalonia UI may immediately suspend the Customer's access to the Software. The Customer may object to the termination in writing during the notice period and must provide any information Avalonia UI reasonably requests.

9. Unauthorised Use by Organisations

9.1 Prohibited Organisational Use

The Community licence is not available to organisations, and no organisation may procure, direct, fund, reimburse, or otherwise facilitate the use of one or more Community licences by its employees, contractors, or agents in lieu of purchasing the appropriate paid licence tier. Any such use constitutes a material breach of this Agreement.

9.2 Deemed Organisational Use

Use of the Software shall be deemed to be on behalf of an organisation if any of the following conditions are met, regardless of whether the organisation formally authorised, directed, or had knowledge of the use:

(a) the Software is installed on, or accessed from, equipment owned, leased, or provided by the organisation;

(b) the Software is used over a private network that the organisation owns, operates, or administers for the use of its own personnel (excluding any public telecommunications or internet access service used by the individual in a personal capacity);

(c) the Software is used to develop, debug, test, build, or package an application or component that is owned by, commissioned by, or performed for the benefit of the organisation; or

(d) the individual using the Software is, at the time of use, an employee, contractor, or agent of the organisation and the use occurs in the course of that individual's duties or engagement with the organisation; or

(e) the Avalonia Account used to activate the Software is registered with an email address at a domain owned or operated by the organisation.

In determining whether any of the above conditions is met, Avalonia UI may rely on any information available to it, including data collected under Section 6 and the circumstances, timing, and pattern of use of the Software.

The presumption in this Section 9.2 may be rebutted only as set out in Section 9.6.

9.3 Liability of Organisations

An organisation is liable for the acts and omissions of its employees, contractors, and agents performed in the course of their duties or engagement, whether or not the organisation specifically authorised or had knowledge of those acts or omissions. That liability arises (a) in contract, where the organisation is bound by this Agreement through acceptance under Section 10.12 of the Master Terms or ratification under Section 10.13 of the Master Terms, and (b) independently of this Agreement, where the organisation's use is unlicensed under Section 3.5. The Customer and the organisation are jointly and severally liable for the amounts payable under Section 9.4.

9.4 Liquidated Damages

If Avalonia UI determines that an organisation has used, or directed the use of, Community licences in breach of this Section 9 (whether directly under Section 9.1 or by operation of Section 9.2), that organisation shall pay to Avalonia UI, as liquidated damages and not as a penalty, an amount equal to:

(a) the fees, at the list prices in effect at the time the breach is discovered and without any discount, for the Avalonia Enterprise agreement that the organisation would have required to license every individual who used the Software under a Community licence on its behalf (being the Avalonia Enterprise base fee together with the additional Named User fee for each such individual beyond those included in the base fee), for each twelve-month period (or part thereof) during which the unauthorised use occurred; plus

(b) a surcharge of 100% of the amount calculated under paragraph (a).

The Avalonia Community licence is offered free of charge to individuals on the basis that organisations purchase a paid tier. An organisation that uses Community licences in breach of this Section 9 has elected not to purchase any paid tier, and Avalonia UI's remedy for that election is measured at the Avalonia Enterprise base fee, being the only tier Avalonia UI offers to an organisation following such a breach (Section 9.7). This measure applies irrespective of any lower-priced tier the organisation could have purchased had it done so at the outset, and whether or not the organisation is bound by this Agreement. Avalonia UI will rely on this Section as the measure of its loss in any claim for unlicensed use.

The parties agree that this amount represents a genuine pre-estimate of the loss that Avalonia UI would suffer as a result of such unauthorised use, taking into account the difficulty of detecting such breaches, the administrative costs of enforcement, and the harm to Avalonia UI's licensing model. The parties further acknowledge that revenue from paid licences funds Avalonia UI's development and maintenance of the open-source Avalonia framework, which Avalonia UI makes available free of charge under the MIT Licence and on which a very large number of applications, developers, and organisations depend; that each instance of unauthorised use reduces Avalonia UI's capacity to sustain that framework and to continue offering the Community programme; and that the harm caused by such use therefore extends beyond Avalonia UI to the wider community of developers and organisations that rely on the framework. Payment of the liquidated damages is without prejudice to Avalonia UI's right to terminate this Agreement, to seek injunctive relief, to conduct verification under Section 4.7 of the Master Terms, and to recover the costs of verification and enforcement. Where Avalonia UI brings a claim for unlicensed use or infringement in respect of the same use, any liquidated damages paid under this Section shall be credited against any damages awarded, and Avalonia UI shall not recover more than once for the same loss. Nothing in this Section limits Avalonia UI's right to claim compensation for loss exceeding the liquidated damages where permitted by applicable law.

Section 4.7 of the Master Terms does not apply to use addressed by this Section 9.

9.5 Audit and Cooperation

Where Avalonia UI reasonably suspects that an organisation is using, or has used, Community licences in breach of this Section 9, Avalonia UI may require the organisation and any individuals involved to cooperate with a compliance investigation, including providing records of use, employment or engagement status, and the identity of the organisation on whose behalf the Software was used. Failure to cooperate shall entitle Avalonia UI to estimate the scope of the breach based on available information.

9.6 Limited Rebuttal

An organisation may rebut the presumption in Section 9.2 only by demonstrating, with clear and convincing evidence, that (a) before the use began it had a written policy prohibiting the installation and use on its equipment, networks, or projects of software licensed only for individual or non-commercial use; (b) it actively enforced that policy, including through technical controls or periodic review; (c) the individual acted in direct contravention of that policy without the knowledge of any manager or supervisor; and (d) within fourteen (14) days of first learning of the use, from Avalonia UI or otherwise, it ceased all use of the Software and certified this in writing to Avalonia UI. A successful rebuttal relieves the organisation of the surcharge under Section 9.4(b) only. The organisation remains liable for the amount under Section 9.4(a) for the period during which the Software was used on its behalf, as the value of the benefit it received.

9.7 Remediation

Following any use in breach of this Section 9, Avalonia UI is not obliged to offer the organisation, or any individual who used the Software on its behalf, any licence other than Avalonia Enterprise, and may decline to sell any other tier to them.

10. Liability Cap Override

Notwithstanding Section 7.2 of the Master Terms, Avalonia UI's total cumulative liability for all claims arising under or relating to this Schedule shall not exceed one Euro (€1). For the avoidance of doubt, this cap applies only to Avalonia UI's liability to the Customer and does not limit the Customer's or any organisation's liability under Section 9 (Unauthorised Use by Organisations).
