1. Service-Specific Definitions

"Offsite" refers to Training Services that are delivered remotely by an Avalonia UI representative.

"Onsite" refers to Training Services that are delivered in person by an Avalonia UI representative at a location specified in the Order Form.

"Training Services" means the training services described in the applicable Order Form.

"Training Site" means the physical location at which Onsite Training Services are to be provided, as specified in the Order Form.

2. Scope of Training Services

2.1 Engagement

Avalonia UI will provide the Licensee with Training Services as described in the applicable Order Form. Training Services may cover any Avalonia UI product, including the Avalonia framework, Avalonia Accelerate, Avalonia XPF, and related tooling. The specific subject matter, duration, and number of participants shall be as set out in the Order Form.

2.2 Nature of Training Services

The Training Services are intended solely for educational and informational purposes. It is the Licensee's responsibility to describe in the Order Form the Training Services required and to determine their suitability for the Licensee's needs. The Training Services do not: (i) constitute procurement, technical, or development advice, except of a general nature; (ii) constitute an endorsement of any company, service, or product; or (iii) entail any other representation.

Avalonia UI is not required to deliver, modify, or develop any Software (or any product at all) in connection with any Training Services, or to provide services to specification.

2.3 Delivery

The Training Services will be delivered either Onsite or Offsite, as specified in the Order Form. If a mode of delivery is not specified, the Training Services will be delivered Offsite. Unless agreed otherwise, Training Services will be provided during Business Hours and shall not exceed eight (8) hours in any one day.

2.4 Changes

Any changes to the scope, schedule, or delivery of the Training Services must be agreed in writing by both parties.

3. Onsite Training

3.1 Order Form Requirements

If the Licensee selects Onsite Training Services, the Order Form must also include: (i) details of the Training Site; (ii) any equipment that will not be available at the Training Site and that Avalonia UI is required to provide; and (iii) any other information reasonably relevant to the provision of the Training Services.

3.2 Access and Safety

The Licensee must provide appropriate access to the Training Site (including any necessary security clearances), equipment, and instructions to enable Avalonia UI to provide the Training Services. The Licensee must provide a safe environment at the Training Site, maintain reasonable safety and security policies, and comply with all applicable laws relevant to the Training Site to ensure the health and personal safety of Avalonia UI's employees, contractors, and representatives.

3.3 Equipment

Unless agreed otherwise in the Order Form, the Licensee will provide suitable projection and presentation equipment at the Training Site.

Avalonia UI may change, delay, or cancel Onsite Training Services at any time, including after they have commenced, if Avalonia UI reasonably believes that the safety or well-being of any Avalonia UI representative is compromised in any way.

4. Onsite Expenses

If the Training Services are provided Onsite, the Licensee is responsible for all reasonable incidental expenses incurred by Avalonia UI in connection with the Training Services, including but not limited to airfare and other travel costs, accommodation, and local transport between accommodation and the Training Site. These expenses will be calculated on the basis of Avalonia UI's reasonable estimate plus ten percent (10%) and invoiced together with the fees.

5. Recording

a) The Licensee must not record the Training Services in any form (including audio, video, and still images) without Avalonia UI's prior written permission.

b) If Avalonia UI grants permission to record, the recording may be used only for internal educational purposes within the Licensee's organisation (excluding any affiliates of the Licensee) and for no other purpose. The Licensee must not distribute such recordings outside its organisation.

c) Any recordings of the Training Services, in any form, are Service Materials and the exclusive intellectual property of Avalonia UI.

6. Personal Data

Avalonia UI will collect certain personal information in order to provide the Training Services, including: (i) the first name, surname, and email address of participants; and (ii) if the Training Services are recorded with permission, audiovisual footage of participants. Where Avalonia UI uses third-party service providers to deliver the Training Services, the Licensee may be required to accept those providers' privacy notices.

7. Cancellation and Rescheduling

7.1 Cancellation by the Licensee

The Licensee may cancel or reschedule Training Services by providing written notice to Avalonia UI. If notice is given fewer than ten (10) Business Days before the scheduled start date, Avalonia UI may retain the full fee. If notice is given ten (10) or more Business Days before the scheduled start date, Avalonia UI will refund the fee less any non-recoverable expenses already incurred.

7.2 Cancellation by Avalonia UI

Avalonia UI may: (i) cancel or reschedule the Training Services for convenience on at least ten (10) Business Days' notice; (ii) cancel the Training Services immediately if provision becomes unlawful or impracticable due to applicable law, regulation, or government directive. Where Avalonia UI cancels under this section, it will refund any fees paid on a pro rata basis.
