1. Product-Specific Definitions

"Software" refers to Avalonia XPF (Enterprise Tier), the proprietary software product provided by Avalonia UI, including its binary code, associated libraries, documentation, and any Software Updates.

"Licensed Application" means the single software application product owned or developed by the Licensee in which the Software is integrated pursuant to this Licence.

"Production Licence Key" means the unique alphanumeric code provided by Avalonia UI that authorises integration of the Software into the Licensed Application and distribution of the Software as part of that application.

"Developer Seat" means an individual natural person (employee or contractor of the Licensee) authorised to develop using the Software, submit support requests, and receive access to support materials.

"Included Developer Seats" means the number of Developer Seats covered by the Licence during a Support Period. Unless otherwise specified in the Order Form, an Enterprise Licence includes support for up to five (5) Developer Seats.

2. Licence Grant

2.1 Grant of Licence

Subject to payment of all applicable fees and continuous compliance with the Master Terms and this Schedule, Avalonia UI grants to the Licensee a non-exclusive, non-transferable, perpetual Enterprise Licence to:

(a) Integrate and Use. Install and use the Software for developing and integrating it into one software application product (the Licensed Application), for the Licensee's personal or internal business use and for distribution to end users.

(b) Reproduce and Distribute in Executable Form. Reproduce, embed, and distribute the Software in executable, compiled form only as an integral part of the Licensed Application. Distribution is permitted solely as part of the application's binary/packaged output, not as a standalone product.

(c) Unlimited Runtime Distribution. Subject to the per-application scope, the Licensee may deploy, install, and permit use of the Licensed Application on an unlimited number of devices and for an unlimited number of end users, without per-device, per-core, per-user, or per-installation fees.

2.2 Per-Application Licence Requirement

The Enterprise Licence is limited to a single application. A separate licence must be purchased for each distinct software application or product in which the Licensee wishes to use the Software. Each Production Licence Key is tied to one Licensed Application and may not be reused for a different application.

2.3 Platform Scope

Each Enterprise Licence includes the right to develop, deploy and run the Licensed Application (incorporating the Software) on the following supported platforms:

(a) Windows: Windows 8.1, Windows 10 and Windows 11, including later feature updates and successor versions released by Microsoft during the Support Period.

(b) macOS: macOS 12 (Monterey), macOS 13 (Ventura), macOS 14 (Sonoma), macOS 15 (Sequoia) and later supported macOS releases.

(c) Linux: Debian 9 and newer, Ubuntu 16.04 and newer, Fedora 30 and newer, Red Hat Enterprise Linux 8 and newer, Arch Linux (latest stable release), openSUSE Leap 15 and newer, Linux Mint 18 and newer, Kylin 10 and newer, Deepin 20 and newer, Unity Operating System / UOS 20 and newer, Manjaro Linux (latest stable release), elementary OS 0.4 (Loki) and newer, Zorin OS 12 and newer, CentOS 8 and newer, Alpine Linux 3.15 and newer, Raspbian 9 and newer, Raspberry Pi OS (Stretch and newer), Torizon OS 5 and newer (Debian 11 based), Wind River Linux 10 and newer, and Yocto Project 2.3 (glibc 2.24) and newer. All listed distributions are supported on x86, x64 and ARM64 architectures to the extent that the relevant distribution and hardware vendor provide support for those architectures, unless otherwise specified in Avalonia UI's documentation.

(d) iOS: iOS 16 and later, on devices supported by Apple for those OS versions.

(e) iPadOS: iPadOS 16 and later, on devices supported by Apple for those OS versions.

(f) Android: Android 14 and later, on devices supported by Google or the relevant OEM for those OS versions.

(g) WebAssembly: Modern desktop and mobile browsers meeting the minimum supported versions published in Avalonia UI's current documentation, including Chromium-based browsers version 119 or later, Firefox version 120 or later, and Safari version 18.2 or later.

Support for additional platforms or versions, or for embedded or real-time variants not expressly listed above, is available only where agreed in a separate written agreement with the Licensee which expressly extends this Licence to those platforms.

Avalonia UI may, at its discretion, publish documentation or product materials describing additional platforms that a particular licence tier is technically capable of supporting. Inclusion of a platform in such documentation does not, by itself, extend the scope of this Licence unless that extension is expressly confirmed in an Order Form or other written agreement between Avalonia UI and the Licensee.

3. Support and Updates

3.1 Included Support Period

Purchase of an Enterprise Licence includes access to Software Updates and support services for an initial period of twelve (12) months from the Effective Date.

Support is provided via email ([email protected]) and the Customer Portal, and is available only to the Included Developer Seats. Only individuals occupying a Developer Seat may raise support requests. Additional Developer Seats may be purchased at Avalonia UI's then-current price.

Avalonia UI will respond to support requests within three (3) working days (excluding weekends and Estonian public holidays).

3.2 Unlimited Tickets (Fair Use)

Enterprise Support includes unlimited support tickets under normal usage patterns.

Avalonia UI monitors aggregate engineering hours allocated to each customer account. If the average engineering hours per Developer Seat for the Licensee exceeds one hundred twenty percent (120%) of the average across all other XPF customers over any consecutive four (4) week period, Avalonia UI may suspend response time commitments while reviewing the account.

Where continued support would result in material net loss or disproportionate cost, Avalonia UI may propose revised commercial terms. If no agreement is reached within thirty (30) days, Avalonia UI may terminate Support Services on thirty (30) days' written notice.

3.3 Renewal and Lapse

For each renewal term, the minimum number of chargeable Developer Seats shall be the greater of: (a) the number of Included Developer Seats in the preceding Support Period, and (b) the number of unique individuals who submitted support tickets during that period.

If the Licensee does not renew support, the perpetual licence continues for the version of the Software in possession at the time support lapsed, but the Licensee will receive no further Updates or support.

Avalonia UI has no obligation to offer renewal and may, in its sole discretion and for any reason, decline to renew support. If Avalonia UI declines renewal, support will end at the end of the then-current Support Period.

3.4 Product Support Baseline

Support is provided in accordance with Schedule 3 (Product Support), as modified by this Schedule.

3.5 Mixed Avalonia / XPF Integration ("Mix and Match")

The Software includes a feature that enables the integration of Avalonia UI elements within an Avalonia XPF application, and conversely, the embedding of Avalonia XPF controls within an Avalonia application ("Mix and Match"). While this capability is supported at a technical level, the complexity it introduces, particularly in deeply nested or recursively interleaved configurations, makes certain usage patterns inherently unstable and difficult to support.

Accordingly, support for Mix and Match scenarios is explicitly excluded from any applicable service level agreement (SLA) or guaranteed response time commitments. Avalonia UI will make reasonable efforts to assist with issues arising from Mix and Match usage, but reserves the right, at its sole discretion, to deem specific cases unsupported, especially where multiple alternating layers of Avalonia and Avalonia XPF controls are embedded within one another (e.g., Avalonia > XPF > Avalonia > XPF and beyond).

Licensees are encouraged to use Mix and Match functionality judiciously, with awareness that excessive or non-linear view hierarchy composition may exceed the bounds of reliable or maintainable integration. Avalonia UI accepts no responsibility for behaviour arising from unsupported nesting depth or interaction patterns.
