"Software" refers to Avalonia Accelerate (Business Tier), including its Tools and Components, any associated libraries, binaries, documentation, and any Updates provided under this Agreement.
"Tools" refers to the developer tools and applications included in Avalonia Accelerate that are installed on a Licensee's machine to facilitate building applications with Avalonia.
"Components" refers to the user interface controls, libraries, and similar software components for incorporation into Avalonia-based applications.
"Named User" means a specific individual designated to use the Software under the Licensee's Business Licence. A Business Licence is issued on a per-Named User basis.
2. Licence Grant
2.1 Grant of Licence
Subject to payment of all applicable fees and continuous compliance with the Master Terms and this Schedule, Avalonia UI grants to the Licensee a non-exclusive, non-transferable, perpetual Business Licence to:
(a) Integrate and Use. Install and use the Software for developing software applications and integrating the Components into such applications.
(b) Reproduce and Distribute in Executable Form. Reproduce, embed, and distribute the Components as part of the Licensee's own software applications, in executable (compiled) form only. End-users may install and use applications incorporating the Software without additional fees.
(c) Perpetual Rights. The rights granted are perpetual for versions obtained during a valid Support Period.
2.2 Named User Licence Requirement
The Business Licence is per Named User. The Software may be used only by the specific individual for whom a licence has been purchased.
No Reassignment: Named User licences under the Business Tier may not be reassigned to a different individual. If an additional user requires access to the Software, a new Business Licence must be purchased.
2.3 Build Servers
The Licensee may use the Software on automated build machines and CI servers without a separate Named User licence, subject to the same conditions as set out in Schedule 1A (Enterprise) Section 2.3.
2.4 Platform Scope
Each Business Licence includes the right to develop, deploy, and run applications on: Windows, macOS, and Linux (x64 only).
Mobile platforms (iOS, Android) and WebAssembly are not included in the Business Tier.
3. Licence Restrictions
In addition to the restrictions in Section 4 of the Master Terms and Section 4 of Schedule 1A (which apply equally to Business Tier licences):

If the Licensee purchases an annual Business Licence, the licence is perpetual from the Effective Date, and includes 12 months of support and updates.
5.2 Monthly Subscription
If the Licensee purchases a monthly subscription:
(a) The licence is subscription-based (not perpetual) during the subscription period;
(b) After twelve (12) consecutive months of paid subscription, the licence converts to a perpetual licence for the version of the Software in use at that time;
(c) Support and updates continue as long as the subscription remains active;
(d) Avalonia UI provides a seven (7) day grace period for failed payments before suspension or termination;
(e) If the subscription is cancelled before the 12-month conversion point, the Licensee's right to use the Software terminates upon the end of the then-current billing period.
