Schedule 10C: Avalonia Pro Trial Licence
Version 1.0, effective as of 26 March 2026
This Product Schedule forms part of and is subject to the Avalonia UI Master Terms and Conditions. Capitalised terms not defined herein have the meanings given in the Master Terms.
1. Product-Specific Definitions
"Software" refers to Avalonia Pro (Trial Version), comprising the complete developer tooling suite and the UI Components made available for evaluation under this Schedule.
"Tools" refers to the developer tools and applications included in Avalonia Pro, identical in scope to those provided under Schedule 10A (Avalonia Pro - Individual) and Schedule 10B (Avalonia Pro - Organisation).
"Components" refers to the proprietary user interface controls, libraries, and similar software components provided as part of Avalonia Pro for incorporation into Avalonia-based applications.
"Evaluation Period" means the period of thirty (30) calendar days commencing on the Effective Date, during which the Licensee is authorised to use the Software for evaluation purposes only.
"Effective Date" means the date on which Avalonia UI delivers the Trial Licence Key (or login credentials or other activation mechanism) for the Software to the Licensee. If no separate delivery of a key or activation mechanism occurs, the Effective Date is the date the Licensee first downloads or accesses the Software.
"Trial Licence Key" means a unique alphanumeric code that permits use of the Software for the duration of the Evaluation Period.
"Named User" means a specific individual designated to use the Software under this Trial Licence. The licence is issued on a per-Named User basis.
2. Trial Licence Grant
2.1 Grant of Licence
Subject to the Licensee's continuous compliance with the Master Terms and this Schedule, Avalonia UI grants to the Licensee a non-exclusive, non-transferable, time-limited licence to install and use the Software solely for evaluation purposes during the Evaluation Period. This licence allows the Licensee to:
(a) Evaluate and Test. Install and use the Software (including Tools and Components) for the sole purpose of evaluating its features, functionality, and suitability for potential future use. The Licensee may use the Software in development and testing environments to assess its capabilities.
(b) Internal Evaluation Only. Use the Software exclusively for internal evaluation. The Software, and any applications created using the Software during the Evaluation Period, are strictly for testing and assessment and may not be used for any commercial purpose, in any production environment, or distributed to third parties.
2.2 Named User Licence Requirement
The Trial Licence is per Named User. The Software may be used only by the specific individual for whom a trial licence has been issued. The Licensee shall not allow multiple individuals to share a single trial licence. If the Licensee has multiple developers who wish to evaluate the Software, each must obtain a separate Trial Licence.
A Named User may install the Tools on more than one machine (e.g., work computer, home laptop) for that Named User's sole use, provided only that Named User uses those installations.
2.3 Named User Licence Restrictions
A Trial Licence may not be reassigned, transferred, or reallocated to another individual for any reason. Named User licences under this Schedule are strictly personal and non-transferable.
2.4 No Source Code Access
The trial does not include access to the source code of the Components. Source code access is available only under Schedule 11 (Avalonia Enterprise).
2.5 No Sale of Software
This Schedule grants a time-limited trial licence to evaluate the Software, not a sale of the Software or any intellectual property rights. All rights not expressly granted are reserved by Avalonia UI and its licensors.
3. Evaluation Period and Expiry
3.1 Duration
The Evaluation Period is thirty (30) calendar days from the Effective Date.
3.2 Time-Limited Components
Any Components integrated into applications during the Evaluation Period will cease to function at the expiration of the Evaluation Period. Applications built with the trial Software will become non-functional after the Evaluation Period ends, regardless of when they were compiled or deployed. This technical limitation is intentional and designed to prevent unauthorised production use of trial software.
3.3 Automatic Termination of Rights
At the end of the Evaluation Period, all rights granted under this Schedule automatically terminate without notice. Upon such expiration:
(a) All rights to use the Software immediately cease;
(b) All Components embedded in applications built during the trial will cease to function, rendering those applications non-operational;
(c) The Licensee must comply with the post-termination obligations set out in Section 8.5 of the Master Terms.
3.4 No Extension
The Evaluation Period cannot be extended, renewed, or restarted without Avalonia UI's express written consent. Requesting a new Trial Licence Key for the same user or organisation to circumvent the Evaluation Period restrictions is expressly prohibited.
3.5 Conversion to Paid Licence
To continue using the Software or to deploy applications built with the Software in production environments, the Licensee must purchase a licence under Schedule 10A (Avalonia Pro - Individual), Schedule 10B (Avalonia Pro - Organisation), or Schedule 11 (Avalonia Enterprise) before or upon expiration of the Evaluation Period.
Upon purchase of a paid licence before or immediately after the expiration of the Evaluation Period, any applications built during the trial may be retroactively licensed for production use, subject to the terms of the applicable Product Schedule.
4. Trial-Specific Licence Restrictions
The following restrictions apply in addition to the general licence restrictions set out in Section 4 of the Master Terms:
4.1 Commercial Use Prohibited
The Licensee shall not use the Software, or any applications created with the Software, for any commercial purpose, in any production environment, or for any purpose other than internal evaluation. This includes selling, licensing, or otherwise commercialising applications built with the trial Software, or using such applications to provide services to third parties.
4.2 Distribution Prohibited
The Licensee shall not distribute, make available, or transfer the Software or any applications created using the Software to any third party. All use must remain strictly internal to the Licensee's organisation and limited to evaluation purposes.
4.3 No Circumvention of Technical Limitations
The Licensee shall not attempt to circumvent, disable, or remove any technical limitations, time restrictions, or licensing control measures in the Software. This includes attempting to extend the Evaluation Period, remove expiration functionality from Components, or modify the Software to enable production use beyond the trial period.
4.4 Unauthorised Licence Key Use
The Licensee shall not share, disclose, publish, or allow any third-party access to any Trial Licence Key. The Licensee must take reasonable measures to protect the confidentiality of any Trial Licence Key. A Trial Licence Key is issued for the Licensee's use (tied to a Named User) and may only be used to activate the Software for evaluation as permitted by this Schedule.
4.5 Minimum Functionality Requirement
Any test applications created during the Evaluation Period must be solely for the purpose of evaluating the Software's capabilities. The Licensee may not create applications that provide substantial functionality beyond evaluation purposes.
4.6 No Shared Use of Development Tools
The Licensee shall not share, pool, or otherwise allow any person other than the designated Named User to access or use the Tools. This restriction applies regardless of whether access is concurrent or sequential.
5. Platform Scope
The Trial Licence includes the right to evaluate the Software on the following supported platforms: Windows, macOS, Linux, iOS, Android, and WebAssembly.
Use of the Software on any other operating systems or platforms is not included in the scope of this Trial Licence and requires Avalonia UI's prior written consent.
6. No Payment Required
6.1 Free Trial
The Trial Licence is provided at no charge for evaluation purposes. No payment is required to obtain or use the Software during the Evaluation Period.
6.2 Data Collection and Telemetry
The Software may collect and transmit to Avalonia UI certain technical information, including but not limited to: installation date, usage statistics, feature utilisation, and licence key validation data. This data is used solely to administer the trial programme and improve the Software. No personally identifiable information beyond the Named User's email address is collected.
7. No Support or Updates
7.1 No Support Obligation
Avalonia UI has no obligation to provide technical support, maintenance, or assistance to Licensees under this Trial Licence. The Software is provided for evaluation purposes only.
7.2 Updates at Avalonia UI's Discretion
Avalonia UI may, at its sole discretion, provide Software Updates during the Evaluation Period, but is under no obligation to do so. Any Updates provided are subject to the same terms and restrictions as the original trial Software and do not extend the Evaluation Period.
7.3 No Warranty on Updates
If Updates are provided during the trial period, they are provided "as is" without warranty of any kind. Avalonia UI does not guarantee that Updates will maintain compatibility with the Licensee's evaluation environment or applications.
8. Termination
8.1 Automatic Termination
This Trial Licence and all rights granted hereunder automatically terminate without notice at the end of the Evaluation Period, as set out in Section 3.3.
8.2 Termination by Licensee
The Licensee may terminate this licence at any time by ceasing all use of the Software and destroying all copies in its possession or control, including removing the Software from all development devices, servers, archives, and backup systems, and destroying any test applications created with the Software.
8.3 Immediate Termination for Breach
Avalonia UI may terminate this licence immediately upon written notice to the Licensee if the Licensee commits any breach of the Master Terms or this Schedule, including but not limited to:
(a) Using the Software for commercial purposes or in production environments;
(b) Distributing the Software or applications built with the Software to third parties;
(c) Attempting to circumvent technical limitations or extend the Evaluation Period;
(d) Sharing Trial Licence Keys with unauthorised users.
Given the limited duration and non-commercial nature of the trial, Avalonia UI reserves the right to terminate immediately without providing a cure period for any breach.
8.4 No Continued Use After Expiry
Unlike paid licences, this Trial Licence does not confer any perpetual rights. No continued use of the Software or applications built with the Software is permitted after termination or expiration. The Licensee acknowledges that the automatic expiration of Components is a fundamental feature of the trial Software.
8.5 Post-Termination Obligations
Upon termination or expiration, the Licensee must comply with the obligations set out in Section 8.5 of the Master Terms. In addition:
(a) All Components embedded in any applications will automatically cease to function;
(b) The Licensee must destroy all copies of any Trial Licence Keys or technical materials provided under this Schedule;
(c) At Avalonia UI's request, the Licensee shall certify in writing that it has complied with these obligations.
9. Disclaimer and Liability
9.1 Trial Software Disclaimer
In addition to the disclaimers set out in Section 7 of the Master Terms, the Licensee acknowledges that this is trial software provided for evaluation purposes only. The Software may contain bugs, errors, or other issues that would not be present in commercial releases. Avalonia UI makes no representations regarding the quality, reliability, or functionality of the trial Software.
9.2 No Liability for Trial Software
Given that the Software is provided as a free trial for evaluation purposes, Avalonia UI's total cumulative liability for all claims arising under or relating to this Schedule shall be zero (EUR 0).
9.3 Component Expiration
The Licensee acknowledges and agrees that the automatic expiration of Components after the Evaluation Period is an intended feature of the trial Software. Avalonia UI shall have no liability whatsoever for any losses, damages, or issues arising from the cessation of functionality of Components or applications at the end of the trial period.
9.4 No Intellectual Property Indemnification
Given the limited, non-commercial nature of this Trial Licence, Avalonia UI provides no intellectual property indemnification to the Licensee under this Schedule. The Software is provided for evaluation purposes only, and the Licensee assumes all risk associated with its evaluation and testing. For the avoidance of doubt, Section 3.5 of the Master Terms does not apply to this Schedule.
9.5 Liquidated Damages for Breach
The Licensee acknowledges and agrees that certain breaches of this Schedule would cause Avalonia UI substantial harm that would be difficult to quantify. Accordingly, if the Licensee breaches any of the following provisions, the Licensee shall pay Avalonia UI liquidated damages (and not as a penalty) in the amount of five thousand euros (EUR 5,000) per breach or the cost of the appropriate commercial licence for the actual use made by the Licensee, whichever amount is greater:
(a) Using the Software or any applications created with the Software for commercial purposes or in production environments (Section 4.1);
(b) Distributing the Software or applications built with the Software to third parties (Section 4.2);
(c) Sharing or allowing unauthorised access to Trial Licence Keys (Section 4.4);
(d) Attempting to circumvent technical limitations or extend the Evaluation Period (Section 4.3);
(e) Using the Software to develop Competing Products (as defined in Section 4.5 of the Master Terms).
These liquidated damages are in addition to, and not in lieu of, any other remedies available to Avalonia UI, including injunctive relief and recovery of legal fees. The parties agree that these amounts represent a reasonable estimate of Avalonia UI's damages and are not punitive in nature.
10. Compliance Verification
Avalonia UI reserves the right to verify the Licensee's compliance with this Trial Licence, including verification that:
(a) The Software is being used solely for evaluation purposes and not for commercial or production use;
(b) Only the designated Named User is accessing and using the Software;
(c) No applications built with the trial Software have been distributed to third parties or deployed in production environments;
(d) The Software is being used only during the Evaluation Period and has been properly uninstalled upon expiration.
Such verification may be performed through automated telemetry, licence validation mechanisms, or upon reasonable written notice, a review of the Licensee's use of the Software, in accordance with applicable data protection laws.
Upon request, the Licensee must provide written attestation signed by an authorised representative confirming:
(i) The identity of the Named User(s) who have used the Software;
(ii) That the Software has been used solely for internal evaluation purposes;
(iii) That no commercial use or production deployment has occurred;
(iv) Details of any applications created using the trial Software and their current status.
If an audit or attestation reveals non-compliance, the Licensee shall immediately cease the non-compliant use and shall be subject to the liquidated damages provisions set out in Section 9.5, in addition to any other remedies available to Avalonia UI.
11. Applications Built During Trial
Applications built with the trial Software that were deployed to production environments prior to obtaining a paid licence remain subject to the liquidated damages provisions of Section 9.5. For the avoidance of doubt, the automatic cessation of Component functionality does not relieve the Licensee of any liability for unauthorised production use during the Evaluation Period.
